Can you serve on two nonprofit board of directors, if the two nonprofits have the same/similar missions? |
Please provide websites that you cite. I need to approach someone on the board I am on about this. Thank you! Depends on the law of the state that you're in, but generally a director owes a separate fiduciary duty to each organization that he's a part of. If there is ever any issue where a conflict of interest may arise, the director is required to disclose the conflict to both boards, and the boards can decide what to do. They can ask him to recuse from decision-making on that particular issue, which is what usually happens. If he breached his fiduciary duties, meaning that he got something out of a deal that he should not have earned or was unfairly earned at the organization's expense, there can be civil penalties. Criminal penalties too if any laws were broken. You might take a look at Idealist.org which has many good resources for nonprofit management. This is their section on conflicts of interest: http://www.idealist.org/if/idealist/en/s... Source(s): NPO board member I am not sure, but you should check out Boardsource. Many NPOs refer to this website for board governance. Being that the NPO is ruled by the mission it would be like working for Burger King and McDonalds at the same time as a manager. www.boardsource.com |
