What does 'shares unused at fair value' mean ?



In the context of, converting warrants to shares to arrive at the diluted earning per share, we add the converted shares to the normal shares then we deduct - > shares unused at fair value which is equal to, the number of converted shares * converting price(lower) / average share price(higher)

why do we do this ?? - cant we just add the converted amount and get the diluted earnings, instead of the deduction ??
