Define:Company Secretary?

I am studying UK law. I need proper definition of Company Secretary according to the Act and definition of Company Director as well.

This is the person who is responsible for ensuring that the company meets its statutory obligations. The company secretary usually acts as a chief administrative officer of the company leaving the director to concentrate on the running of the business.
